Terms of Service

We know that legal documents can be overwhelming, but this agreement is important because it outlines what you can expect from us and what we expect from you. We've kept the language as clear as possible.

These Terms govern your use of the SmoothSe platform and services ("Services") offered by Beagles Private Limited ("SmoothSe," "we," "us"). By using our Services, you agree to these Terms.

1. Key Definitions

The following terms help clarify this agreement:

User: The individual or entity accessing or using the Services (typically, you and your team).

Business Data: All non-personal data related to your business operations that you upload or generate (e.g., inventory, sales, financial data).

Personal Data: Information that identifies an individual (e.g., your name, email, login credentials).

Content: Any information, data, text, or images you upload or submit through the Services.

2. Acceptance and Agreement

By creating an account or using our Services, you agree to be bound by these Terms and our Privacy Policy (which explains how we handle your data). If you don't agree to these documents, please do not use the Services.

3. Our Services (What SmoothSe Does)

SmoothSe provides a powerful platform for small business owners to manage operations, including order and inventory management, payment processing, customer management, data insights, and strategic AI-generated advice. SmoothSe is currently free to use.

4. Your Account and Security

4.1. Registration and Authority
You must provide accurate, current, and complete information when you sign up and keep it updated. If you are creating an account on behalf of a business entity, you personally guarantee that you have the authority to agree to these Terms on behalf of that business.

4.2. Age Requirement
You may not create an account to use the Services if you are under 18 years of age. Children under age 13 are not permitted to use the Services. Minors under 18 years of age and at least 13 years of age are permitted to use the Services only if they have permission and direct supervision by a SmoothSe account owner over the age of 18.

4.3. Account Security and Liability
You are responsible for keeping your login credentials safe. If you share your account, the person whose financial information is associated with the account is ultimately responsible for all activity. If you suspect any unauthorized use, please tell us immediately.

5. Access and Third-Party Service Fees

5.1. Free Access
SmoothSe is currently free to use. There are no subscription fees, automatic renewals, or charges to access SmoothSe's business operations features.

Certain optional services available through SmoothSe rely on third-party service providers and may incur third-party charges, as described below.

5.2. Third-Party Service Fees
SmoothSe works with third-party providers to make certain services available through the platform, including payment processing and bulk WhatsApp messaging. If you choose to use such services, the applicable third-party charges will be passed on to you at cost, without any additional SmoothSe markup.

Where applicable, these charges may be deducted from amounts payable to you or charged to you separately. The applicable charges will be communicated to you in connection with the relevant service.

5.3. Payment Processing
SmoothSe is not a payment aggregator and does not itself process, collect, hold or settle customer payment funds. Payment processing services made available through SmoothSe are provided by third-party payment service providers, such as Razorpay.

SmoothSe currently integrates with Razorpay to enable certain payment options through the SmoothSe platform. Applicable Razorpay processing fees are passed on to you at cost, without any additional SmoothSe markup. The applicable charges will be displayed or otherwise communicated to you in connection with the relevant payment service.

Where your customers use a payment option made available through Razorpay, payment processing and settlement are handled by Razorpay and/or the relevant regulated payment-system participants, in accordance with their applicable terms. Applicable processing fees may be deducted from the amounts settled to you.

You are not required to use these payment services in order to use SmoothSe. You may collect payments using your own QR code, cash, or other payment methods and manually record and link those payments to the relevant orders in SmoothSe.

5.4. Account Closure
You may close your account at any time through your Account Settings or by contacting our support team. Upon closing your account, you will lose access to the platform and any Business Data or Content associated with it. It is your responsibility to maintain backups before closing.

6. Your Content and Data

6.1. Ownership
The data and content you upload to SmoothSe is 100% owned by you ("Content" and "Business Data").

6.2. License and Use
You grant SmoothSe a non-exclusive, worldwide, royalty-free license to use your Content and Business Data to: (i) Provide the Services to you (including managing your operations and generating custom insights); (ii) Improve and develop our Services; and (iii) Create and display anonymized and aggregated industry insights for all Users. The aggregated data will not identify your specific business.

6.3. Content Moderation
You are solely responsible for all Content you upload. We reserve the right to remove or disable access to any Content we deem objectionable or in violation of these Terms.

6.4. Prohibited Content
Do not upload content that is illegal, infringes on anyone's rights, or is offensive. You also agree not to collect or store Personal Data about other Users or their customers without their express consent.

7. Third Party Services

Our Services may contain links to or integrate with third-party websites or services that we don't own or control. When you access or use these third-party services, you do so at your own risk. SmoothSe is not a party to those third-party agreements and is not responsible for their terms, policies, or actions.

8. Data Privacy and Security 🔒

Our entire approach to collecting, using, and protecting your data is detailed in our Privacy Policy.

By using the Services, you affirm that any Personal Data you share is provided with explicit, informed, and free consent. You retain the right to access, correct, or request the erasure of your data at any time.

You further affirm that you will protect your customers' data privacy. This means you will obtain your customers' permission before adding their contact and address details to SmoothSe for order delivery and customer management.

We strive to implement industry-standard security measures. However, no method is 100% secure. You acknowledge that providing information is done at your own risk. In the event of a security breach, we will make commercially reasonable efforts to notify affected users as required by applicable law.

9. Intellectual Property (Our Rights)

All the software, code, graphics, text, logos, and the way the SmoothSe platform works is owned by SmoothSe or our partners and is protected by law. We grant you a limited, non-transferable right to use the Services for your internal business operations only.

10. Termination (Ending the Agreement)

10.1. Termination by You
You may close your account at any time as explained in clause 5.4 above.

10.2. Termination by SmoothSe
We can suspend or terminate your account immediately if we have reason to suspect that you violate these Terms, including our Privacy Policy. We will generally notify you, unless legal reasons prevent us from doing so.

We reserve the right to change, suspend, or discontinue any of the Services at any time and for any reason. We will not be liable to you for the effect that any such changes to the Services may have on you.

10.3. Effect of Termination
Upon termination by either party, you may lose any Business Data or Content associated with your account. It is your responsibility to maintain backups.

11. Disclaimer and Limitation of Liability (Setting Expectations)

11.1. Disclaimer
The Services are provided "AS IS" and "AS AVAILABLE" without warranty of any kind. We do not warrant that the Services will be uninterrupted, secure, or error-free.

11.2. Limitation of Liability
We are excited to help your business, but to manage our operational risk, we must limit our liability.

NEITHER SMOOTHSE, NOR ITS EMPLOYEES AND DIRECTORS, WILL BE LIABLE for any damages arising out of or related to your use of the Services, including but not limited to lost profits or revenues, or any other direct, indirect, incidental, consequential, or special damages.

12. Indemnification

You agree to defend and hold us (including any of our Directors and Employees) harmless from any third party claims, demands, damages, or costs (including legal fees) that arise from your use of our Services.

Disputes Between Users: If you find yourself in a dispute with another user or a third party (like a customer), you release SmoothSe from any claims, demands, and damages arising out of that dispute.

13. Governing Law and Dispute Resolution

13.1. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India, without giving effect to any principles of conflicts of law.

13.2. Amicable Resolution
If a dispute arises, both you and SmoothSe agree to first attempt to resolve the issue amicably through good faith negotiation.

13.3. Arbitration
However, if any such dispute or claim cannot be resolved amicably, then such dispute or claim shall be settled by final and binding arbitration situated in Bangalore, using the English language, administered by the Centre for Online Resolution of Disputes (CORD) (www.resolveoncord.com) in accordance with the Rules of Arbitration of CORD prevailing as on the date of initiating arbitration, unless otherwise required by law. For any actions not subject to arbitration, you and SmoothSe agree to submit to the personal jurisdiction of the relevant courts located in Bangalore.

14. Changes to Terms (Keeping You Informed)

We reserve the right to modify these Terms at any time. If we make changes, we will provide notice of such changes, such as by sending an email notification, providing notice through the Services, or updating the "Last Updated" date at the beginning of these Terms. Your continued use of the Services following the posting of revised Terms means that you accept and agree to the changes.

15. General Provisions and Contact

These Terms constitute the entire agreement between you and SmoothSe. If any part of the Terms is found to be unenforceable, the remaining Terms will remain in full force and effect. We may assign any of our rights and obligations under the Terms.
